Terms and Conditions for the NODI Pre-Order (United Kingdom)

1. Scope and contracting party

Scope. These terms and conditions ("Terms") apply to all pre-orders ("Pre-Orders") of NODI-branded products (in particular the "NODI Flip" and related accessories) placed by consumers via the NODI online shop at uk.nodi.kids. You are a consumer if you are an individual acting wholly or mainly outside your trade, business, craft or profession (s.2 Consumer Rights Act 2015). We do not offer Pre-Orders to businesses (B2B).

Contracting party. The contract of sale is concluded with NoDi GmbH, represented by Mathieu Caudal and Pascal Blum, Rudi-Dutschke-Straße 23, c/o Betahaus, 10969 Berlin, Germany. Contact: help@nodi.kids. Registered with the Commercial Register of Berlin (Charlottenburg) under HRB 265239 B, German VAT ID DE369582716. UK VAT registration is currently pending; we will display our UK VAT number on our website and on invoices as soon as it has been issued by HMRC. (Below, "we", "us", "our".)

UK GDPR representative. In accordance with Article 27 of the UK GDPR, we have appointed Prighter as our UK representative. The relevant contact details will be published in our Privacy Policy once onboarding is complete.

2. Pre-Order: definition, process and updates

Pre-Order start and period. The Pre-Order opens on 17 April 2026. The number of NODI Flip units available for Pre-Order is limited; the offer ends as soon as the allocated stock is sold out, which we currently expect by May 2026. We may extend or close the Pre-Order period earlier or later if demand is unexpectedly high or additional units become available.

Binding nature of the Pre-Order. A Pre-Order is a binding purchase. You are entering into a contract of sale for the future delivery of the NODI Flip (and any accessories) on the terms set out here, this is not a non-binding reservation, donation or crowdfunding pledge. Payment is taken at the time of order (see clause 5) and the product is delivered later (see clause 6).

Product development and changes. The NODI Flip is in its final development phase. If there are material changes to the specifications you have ordered (for example variations in colour or features, or if a pricing error is discovered), we will notify you by email without delay. You may then choose to keep the Pre-Order on the revised terms or cancel free of charge with a full refund of any payments already made.

Updates on delays. Delivery is currently expected in August 2026. This date is an estimate and not a binding deadline. We will keep you informed of key milestones and any delays — transparency matters to us. If unforeseen circumstances delay production or delivery, we will email you promptly with a revised expected delivery window.

Extraordinary cancellation right for significant delay. You can cancel your Pre-Order at any time before dispatch (see clause 7). In addition: if we have not delivered your NODI Flip by 30 November 2026 (i.e. roughly 90 days after the originally expected delivery month of August 2026), we will contact you. In that case you have the right to withdraw from the Pre-Order contract and receive a full refund. If you choose to keep your order despite the delay, we will deliver as soon as we are able.

No delivery guarantee until production. If, after the Pre-Order phase closes, it turns out that the NODI Flip cannot be produced or delivered (for example due to technical impossibility or insufficient demand), we reserve the right to cancel your Pre-Order. In that case you will of course receive a full refund of the amount paid; no further claims arise as no obligation to deliver has yet crystallised.

3. Conclusion of the contract in the online shop

3.1 Order process. To pre-order a NODI Flip, add the item (and any accessories) to your basket. At checkout you enter your personal details (delivery address, payment method etc.). Before submitting your order, you will see an order summary with all key information about your purchase (product details, price including taxes, any delivery charges, expected delivery date, payment method, and information on your right to cancel and any guarantees). Please review all details carefully. You will be clearly informed about the contents of your order and any costs throughout the order summary, so there are no hidden charges.

3.2 Order button. To complete your Pre-Order, you must click the designated order button. In line with applicable consumer-protection rules (regulation 14 of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013), this button is clearly labelled to make payment obligation unambiguous (e.g. "Place order" or "Pay now"). By clicking this button, you make a binding offer to enter into a contract of sale for the Pre-Order items in your basket.

3.3 Order confirmation and conclusion of contract. Immediately after you submit your order, we will send you an order confirmation by email. The contract of sale is concluded when this order confirmation reaches you; we accept your offer at that point. We do not send a separate acceptance. The order confirmation contains your order details and these Terms (including the cancellation information). If you do not receive an order confirmation within 5 days, you are no longer bound by your order; any payments already made will be refunded promptly via the payment method you used.

3.4 Contract language and storage. The contract language is English. You can view, download and save these Terms at any time on our website under "Terms & Conditions". You will also receive the contract terms (Terms and order details) by email after ordering, so that you can store them on a durable medium. We retain the contract text in accordance with our statutory record-keeping obligations.

4. Prices, introductory price and price information

4.1 Prices include VAT. All prices shown in the NODI shop are total prices and include UK VAT at the applicable rate, plus any environmental compliance fees. No delivery charges apply within the United Kingdom (see clause 6.4). If additional costs do apply (for example for express or special delivery), this will be clearly shown during the order process.

We act as the importer of record for goods shipped to UK addresses, so you will not be asked to pay import VAT, customs duty or carrier handling fees on receipt.

4.2 Introductory price (Pre-Order discount). The Pre-Order price for the NODI Flip is an introductory price that is lower than the planned later RRP. As the NODI Flip is a new product, there is no previous selling price against which the discount is calculated — this introductory price is therefore not a "was/now" reduction but a one-off pre-launch offer. We will comply with the Price Marking Order 2004 and the CMA's guidance on price comparisons. (If we do reduce the price further during the Pre-Order phase, we will display pricing in line with applicable rules.)

4.3 Price stability and adjustments. The price shown when you place your Pre-Order applies. We do not plan to change prices during the Pre-Order phase. If the price for your exact product is reduced between order and dispatch (e.g. as part of a special promotion), we will voluntarily pass on the lower price to you — either by automatic adjustment or by refund of the difference. We will not increase the price for orders that have already been placed; if there is an obvious pricing error, we will inform you before accepting the contract (see below).

4.4 Pricing errors. We make every effort to display prices correctly. If a pricing error or technical fault occurs and the actual price is higher than the price shown, we will contact you before accepting the contract. You can then decide whether to buy at the corrected price or to cancel the Pre-Order. If we cannot reach you, we will treat the order as not accepted and refund any payments made. If the correct price is lower than the price shown, we will of course only charge the lower price.

5. Payment methods and timing

5.1 Payment methods. The following payment methods are available in the NODI online shop: credit/debit card (Visa, Mastercard etc.) via Shopify Payments, Apple Pay, Google Pay and PayPal. All payments are processed via secure, certified payment service providers. We may temporarily suspend individual payment methods for technical or security reasons.

5.2 Payment at the time of order. Payment is due immediately on placing the Pre-Order. The full order amount (Pre-Order price including all taxes and any fees) is debited or charged at the time of ordering, regardless of the expected delivery date. By placing the Pre-Order you agree to this prepayment. (Note: your statutory rights — for example to a refund following cancellation under the CCRs 2013 or in the event of cancellation before delivery — are not affected.)

5.3 Invoicing. You will receive an electronic order confirmation showing the amount payable immediately after ordering. The final VAT invoice will be issued no later than at dispatch and sent to you by email (where legally permitted, the invoice will be issued in digital form). Please notify us if your address or email changes before then so that the invoice can be issued correctly.

5.4 Payment security and fraud prevention. Payments are processed in encrypted form via the providers listed above. For card payments, 3-D Secure authentication may be required (e.g. Verified by Visa, Mastercard SecureCode). If a payment fails or there is reason to suspect fraud, we are entitled to refuse or cancel the order — we will inform you promptly in such a case.

6. Delivery, delivery times and delays

6.1 Delivery area. We currently deliver the NODI Flip to addresses within the United Kingdom (England, Scotland, Wales and Northern Ireland). Orders are fulfilled from our UK third-party logistics partner.

6.2 Delivery window. Pre-Ordered products will be delivered as soon as production is complete and stock is available. We currently expect delivery in August 2026. Please note: this is an expected date, not a binding delivery commitment. As soon as your NODI Flip is ready for dispatch, we will email you and hand the parcel over to our delivery partner. From dispatch, standard delivery within the UK takes around 3–5 working days. If we ship in part deliveries (see 6.3), each delivery period begins with dispatch of that particular part shipment.

6.3 Part deliveries. If you combine several items in one Pre-Order (e.g. NODI Flip plus accessories) and not all products are available at the same time, we may make part deliveries where this is reasonable for you. We will notify you in advance. You will not incur additional delivery charges as a result of part deliveries — we cover any extra costs. Your statutory rights (e.g. right to cancel, statutory rights as to the goods) apply independently to each part delivery in respect of the products it contains. Where the order is split, the cancellation period under the CCRs 2013 begins on the day you receive the last item of the order.

6.4 Delivery charges. Delivery is free of charge to UK addresses. We cover standard delivery costs for the outbound shipment of your NODI Flip. We also cover the cost of any return under the statutory right to cancel (see clause 8) and the 30-day satisfaction guarantee (see clause 9), so you can order risk-free. Express or international delivery options may be chargeable; we will offer these separately where available.

6.5 Risk passes on delivery. Under section 29 of the Consumer Rights Act 2015, the goods remain at our risk until they come into your physical possession (or that of a person you have nominated to receive them, other than the carrier). We bear the full transit risk until that point. If a parcel arrives with obvious transit damage, please report it to the carrier as soon as possible and let us know — this helps with any claim against the carrier. Your statutory rights are not affected by any failure to do so.

6.6 Delivery delays. If delivery is delayed beyond the originally communicated window (see clauses 2 and 6.2), we will work to deliver as quickly as possible on a revised date. Causes can include force majeure (natural events, pandemics etc.), production issues or supply-chain disruption. We will notify you promptly in such cases and keep you regularly updated. We are not in default for as long as we keep you informed about the delay and a revised schedule, and delivery takes place within a reasonable additional period. Your rights in the event of significant delay (cancellation, refund — see clause 2 extraordinary cancellation right) are not affected. If the deadline for delivery is essential and we miss it, or if we miss the longstop date in clause 2, you can treat the contract as at an end and obtain a full refund in line with section 28 of the Consumer Rights Act 2015.

7. Cancellation before dispatch (goodwill)

Although your Pre-Order is legally binding, as a customer-friendly gesture we offer a voluntary right to cancel before dispatch: you may cancel your Pre-Order at any time up to the start of dispatch, without giving any reason.

Cancellation process. To cancel a Pre-Order before dispatch, simply notify us (by email to help@nodi.kids or via your account, where available). Please include your order number so we can locate your order. We will confirm the cancellation and refund process in writing within a short time (usually 2–3 working days).

Refund. If you cancel before dispatch, we will refund 100% of the amount paid, including any delivery charges, within 14 days of the day on which we received your cancellation notice. The refund will be made via the payment method you used for the Pre-Order, unless expressly agreed otherwise. You will not be charged any fees for the refund.

Effect of cancellation. Once cancellation is confirmed, the Pre-Order contract comes to an end. You are no longer entitled to delivery of the cancelled product, and we have no payment obligations beyond the refund described. This voluntary right exists in addition to and independently of your statutory right to cancel (see next clause) and does not restrict that right.

(Note: cancellation after dispatch is no longer possible under this clause — your statutory right to cancel and our 30-day satisfaction guarantee then apply for returns.)

8. Statutory right to cancel (Consumer Contracts Regulations 2013)

8.1 Cancellation information. As a consumer, you have a statutory right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. The information required by Schedule 2 of those Regulations is set out below:

Right to cancel
You have the right to cancel this contract within 14 days without giving any reason.The cancellation period will expire after 14 days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, physical possession of the goods.To exercise the right to cancel, you must inform us (NoDi GmbH, Rudi-Dutschke-Straße 23, c/o Betahaus, 10969 Berlin, Germany, email: help@nodi.kids) of your decision to cancel this contract by a clear statement (e.g. a letter sent by post or email). You may use the model cancellation form (in Section 18 below), but it is not obligatory.To meet the cancellation deadline, it is sufficient for you to send your communication concerning your exercise of the right to cancel before the cancellation period has expired.

 

Effects of cancellation
If you cancel this contract, we will reimburse to you all payments received from you, including the costs of delivery (except for the supplementary costs arising if you chose a type of delivery other than the least expensive type of standard delivery offered by us).We may make a deduction from the reimbursement for loss in value of any goods supplied, if the loss is the result of unnecessary handling by you.We will make the reimbursement without undue delay, and not later than: (a) 14 days after the day we receive back from you any goods supplied, or (b) (if earlier) 14 days after the day you provide evidence that you have returned the goods, or (c) if there were no goods supplied, 14 days after the day on which we are informed about your decision to cancel this contract.We will make the reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of the reimbursement.We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.You shall send back the goods or hand them over to us, without undue delay and in any event not later than 14 days from the day on which you communicate your cancellation from this contract to us. The deadline is met if you send back the goods before the period of 14 days has expired.

 

We will bear the cost of returning the goods.
You are only liable for any diminished value of the goods resulting from the handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

8.2 Exclusions. The right to cancel does not apply to certain contracts under regulation 28 of the CCRs 2013, including the supply of sealed goods which are not suitable for return due to health protection or hygiene reasons, if unsealed after delivery, and the supply of sealed audio or video recordings or sealed computer software which are unsealed after delivery. These exclusions will generally not apply to the NODI Flip itself, but may apply to certain accessories (e.g. items personalised to your order — we will flag this clearly at the relevant product level).

8.3 Returns under the right to cancel. Please avoid damaging or soiling the goods. Where possible, return the items in their original packaging together with all accessories and packaging components. If you no longer have the original packaging, please use suitable packaging that provides adequate protection against transit damage to avoid claims for diminished value caused by inadequate packaging. The arrangements set out in this paragraph are not a condition for effective exercise of the right to cancel; they simply make processing easier for both sides.

8.4 Model cancellation form. You can use our model form — voluntarily — to declare your cancellation. It is set out in Section 18 below. Alternatively, you can word the cancellation yourself in any clear way. What matters is that your statement is unambiguous.

(Note: your 14-day cancellation period only starts when you receive the goods. As the NODI Flip is being delivered in 2026, you can still cancel within 14 days of delivery even after the long wait, if you change your mind.)

9. Voluntary 30-day satisfaction guarantee

In addition to your statutory right to cancel, we offer a voluntary 30-day satisfaction guarantee on the NODI Flip and any accessories ordered with it. We want you and your family to be genuinely happy with our products. If the NODI Flip does not appeal to you or does not meet your expectations within 30 days of receipt, you can return it to us — no reason required — and receive a full refund of the purchase price.

9.1 Period and start. The 30-day period begins on the day the goods are delivered to you (or to a third party indicated by you, other than the carrier). The delivery date according to the tracking record applies. Within 30 calendar days of that date, you must inform us of your wish to return and dispatch the goods.

9.2 Return process. Notify our customer service team by email at help@nodi.kids of your wish to return under the satisfaction guarantee. We will then provide you with a prepaid return label or returns slip — the return is free of charge for you. Please return the NODI Flip (and all accessories received) in full. Ideally, use the original packaging; if it is no longer available, please use packaging that is safe for transit. Once your return reaches us, we will briefly check it for completeness.

9.3 Condition of the goods. Please treat the NODI Flip with reasonable care during the first 30 days. You are of course free to try out the device and accessories to the extent you would in a shop — testing functions, looking at and listening to it. Under the satisfaction guarantee we are even more lenient: normal signs of use are fine. What is not acceptable is heavy soiling, damage or excessive wear that goes beyond "examining the nature, characteristics and functioning" of the goods. If a returned NODI Flip arrives significantly damaged or incomplete (missing accessories), we reserve the right to reduce the refund accordingly to reflect the loss in value. As a rule, however, we refund the full purchase price provided the item has not been wilfully destroyed or misused.

9.4 Refund process. Once we have received and checked the return, we will refund the purchase price promptly — and in any event within 14 days of receipt of the returned goods. The refund will be made via the same payment method you used for the order (e.g. credit card refund to the card, PayPal credit to your PayPal account, etc.), unless expressly agreed otherwise. No refund of delivery charges is needed here, as none were incurred.

9.5 Relationship to the right to cancel. The 30-day satisfaction guarantee is a voluntary extra. Your statutory right to cancel (14 days under the CCRs 2013) is unaffected and effectively extended: in practice we give you twice as long for a no-questions-asked return. Within the first 14 days you can declare a statutory cancellation or simply use this guarantee — the result (full refund, free return) is the same for you. Even after the 14 days are up, you can return the goods up to day 30 after delivery. This guarantee also does not restrict your statutory rights as to the goods (clause 11); it only applies if you are unhappy with the product without there being a specific defect.

(Note: the satisfaction guarantee applies only to first buyers of the NODI Flip in the Pre-Order and is a one-off per product. It expires on resale of the device. It also does not cover any software subscriptions or services, only physical products.)

10. Retention of title

We deliver only against full prepayment (see clause 5). The goods supplied remain our property until the purchase price and all related costs and charges have been paid in full. Title to the NODI Flip and accessories passes to you only on payment of the full invoice amount.

If we exceptionally allow delivery before payment as a goodwill gesture (e.g. cash on delivery or invoice), retention of title applies until payment is received. While retention of title applies, you may not resell, pledge or assign the NODI Flip to third parties as security. If a third party seeks to take possession of the goods supplied under retention of title (e.g. through enforcement action), you must refer them to our ownership and notify us immediately.

11. Statutory rights as to the goods (Consumer Rights Act 2015)

11.1 Statutory rights. All goods supplied are subject to the statutory rights of consumers under the Consumer Rights Act 2015 ("CRA 2015"). In particular, the goods must be of satisfactory quality, fit for any particular purpose you made known to us, and as described. Nothing in these Terms affects your non-excludable statutory rights.

11.2 Remedies under the CRA 2015. If the NODI Flip does not conform to the contract, you have the following remedies under the CRA 2015:

  • Short-term right to reject (within 30 days). Within 30 days of delivery, you may reject the goods and receive a full refund.
  • Right to repair or replacement. After the 30-day period (or instead of rejecting), you may require us to repair or replace the goods within a reasonable time and without significant inconvenience to you, and at our cost.
  • Right to a price reduction or final right to reject. If repair or replacement is impossible, or if after one repair or replacement the goods still do not conform, you may either keep the goods and claim a price reduction or reject them and obtain a refund. Where the final right to reject is exercised more than 6 months after delivery, we may make a deduction for use.

11.3 Time limits. Claims for breach of the statutory rights must be brought within the limitation period set by the Limitation Act 1980 (in England, Wales and Northern Ireland: generally 6 years from delivery; in Scotland under the Prescription and Limitation (Scotland) Act 1973: generally 5 years).

11.4 Reverse burden of proof. Under section 19(14) CRA 2015, faults that appear within 6 months of delivery are presumed to have been present at delivery, unless we can prove otherwise or the presumption is incompatible with the nature of the goods or the fault.

11.5 Asserting claims. If your NODI Flip has a defect or other fault, please contact our support team (help@nodi.kids). We will agree the next steps with you. Please do not return faulty products without prior contact — wait for our response with a returns label or specific instructions, so we can handle the case efficiently.

11.6 Free returns in warranty cases. If you have a valid claim under your statutory rights, we will of course cover the transport costs for the return and any return of the repaired/replaced item to you. We will provide a prepaid shipping label.

11.7 Exclusions. Statutory rights do not cover faults caused by misuse on your part (e.g. drop damage, liquid damage, use of incorrect accessories) or normal wear and tear (e.g. gradual battery capacity loss over the years). In such cases, our voluntary guarantee may apply where its conditions are met (see clause 12), or our chargeable repair service. There is also no statutory remedy where the condition of the product has been worsened by repairs or modifications carried out by you or third parties (e.g. opening the housing and altering internal components).

(Note: please keep your proof of purchase and order confirmation safe — this makes resolving any claim much easier.)

12. NODI "Lifetime" Manufacturer Guarantee (for first buyers)

In addition to your statutory rights, we offer first buyers of the NODI Flip in the Pre-Order a voluntary manufacturer's guarantee on the device (including the standard accessories supplied with it). We call this the "NODI Lifetime Guarantee", because it is intended to apply for the entire useful life of the product in the hands of the first buyer. This guarantee gives you additional rights without restricting your statutory consumer rights. The full terms are set out in plain language below; you will also receive them again in writing on a durable medium (e.g. as a PDF by email) on delivery.

12.1 Guarantor and scope. The guarantor is NoDi GmbH (address as above). The NODI Lifetime Guarantee applies to NODI Flip devices and original accessories purchased in our Pre-Order, and only to you as the first buyer with a delivery address in the United Kingdom (for delivery to other countries, see 12.7). The guarantee may not be transferred to a subsequent buyer or other person — it ends automatically when the device permanently changes hands by sale, gift or other transfer.

12.2 Guarantee period ("lifetime"). "Lifetime" refers to the product's useful life while you, as the first buyer, own it. Specifically, we provide the guarantee for the entire period during which you use and retain the NODI Flip. We additionally guarantee a minimum support period of at least 2 years from the date of purchase, even if you own the device for a shorter time. If the first buyer transfers the device or it exceeds a reasonable useful life, the guarantee ends at the latest 2 years after the original purchase date. This definition makes clear that "lifetime" is not misleading — it refers to the product's lifetime in the hands of the first owner, but in any case for a generous period beyond the statutory rights regime.

12.3 What is covered. Our Lifetime Guarantee covers material and manufacturing defects in the NODI Flip that are demonstrably attributable to our production or design. If your NODI Flip develops a fault during the guarantee period that occurs despite proper use (see 12.5 for exclusions), we will, at our choice, either carry out a free repair or replace the device with an equivalent device. An equivalent device may be a refurbished device or a successor model, provided it is at least equivalent in performance and value to the original device. If neither repair nor replacement is possible within a reasonable time, we reserve the right to refund the time-adjusted value of the device; within the first 2 years this value is the full purchase price you paid, after which it may be reduced appropriately to reflect actual use.

12.4 No charge for guarantee work. All material, labour and shipping costs in a guarantee claim are covered by us. Using the guarantee within the United Kingdom is therefore free of charge. (Any incidental costs you incur in making contact or sending in documents — e.g. phone calls or printouts — cannot be reimbursed, but we keep these to a minimum.)

12.5 Guarantee exclusions. The guarantee applies only where the NODI Flip is used as intended. The following are not covered:

  • Wear and consumables: normal wear of batteries (e.g. gradual capacity loss over years), scratches on the housing, or wear of surfaces from ordinary use.
  • Self-inflicted damage: faults caused by accident, misuse or external influence — e.g. drop or impact damage, liquid damage, damage from extreme temperatures, improper cleaning, over-voltage etc.
  • Third-party intervention: damage resulting from the device being opened, modified or repaired by you or non-authorised third parties (e.g. soldering work on the board, replacement of components, custom firmware etc.).
  • Third-party accessories: problems caused by accessories or peripherals not supplied by NODI (e.g. a defect caused by a non-certified charger).
  • Software or data: purely software-related issues (e.g. app errors) — we provide support and updates but no guarantee promise here. Loss of personal data on the device is also not covered — please back up important content regularly.
  • Loss/theft: the guarantee does not apply if your device is lost or stolen.

12.6 Making a guarantee claim. To make a guarantee claim, contact our customer service (email: help@nodi.kids). Please have your order or invoice number ready so we can verify that you are the first buyer. We will first try to narrow down the fault with you (where possible by remote diagnosis or simple steps). If a guarantee claim is in fact present, you will receive further instructions from us, in particular a returns label for free shipping of the faulty device to our service centre. Please send us the complete product (device and built-in accessories such as battery, memory card etc.) — accessories like removable sleeves or cables only if they appear to be affected by the fault. Include a description of the fault and a copy of your proof of purchase. After receipt, our technicians will examine the device. Where a guarantee claim applies, we will carry out the repair or replacement as quickly as possible and return the repaired/replaced device to you free of charge. You will also receive a brief record of what was done. If it turns out that no fault covered by the guarantee was present (e.g. an operating error or an excluded case such as liquid damage), we will contact you: in such cases you can decide whether we should send the device back unrepaired (free of charge) or — where possible — repair it on a chargeable basis.

12.7 Geographic scope. The NODI Lifetime Guarantee applies to devices purchased in our Pre-Order and delivered within the United Kingdom. If you move within the EU/EEA or take the device with you, we will likewise endeavour to provide guarantee services, but service restrictions may apply depending on the country (e.g. shipping routes). Cost arrangements for shipping: we cover shipping costs only for shipments within the United Kingdom (outbound and return). If a device is sent in or returned from/to an address outside the UK, you bear any additional costs, in particular cross-border shipping costs, customs, import/export duties, taxes and customs handling fees. On request we can provide a returns label for a UK address (e.g. of friends/family); onward shipment to us from there is then free of charge. Outside the EU/EEA we may not be able to offer guarantee services in full.

12.8 Relationship to statutory rights. This guarantee gives you additional rights that go beyond statutory consumer rights, and does not restrict your statutory rights. You can continue to assert claims for defects under the CRA 2015 without first using the guarantee — the guarantee is available to you in parallel. You even have a choice: within the limitation period, you may assert your statutory rights or use our guarantee. Some benefits (e.g. free in-place exchange) may only be available under the guarantee, while statutory remedies may, for example, initially provide for repair. In any case, using the guarantee is free of charge for you, and statutory rights are neither shortened nor replaced by a guarantee performance.

(Detailed guarantee terms are also provided again in writing with the product. They contain all the points listed here as well as a clear and intelligible reference to your statutory rights.)

13. Limitation of liability

13.1 Unlimited liability in certain cases. We have unlimited liability — that is, in full — for damages arising from death or personal injury caused by our negligence or that of our employees or agents, and for any matter for which it would be unlawful for us to exclude or restrict liability. We also have unlimited liability where we have expressly accepted a guarantee (see e.g. our "Lifetime Guarantee" in clause 12, but only within the scope of the guarantee promises) and to the extent that liability is mandatory under the Consumer Protection Act 1987.

13.2 Liability for ordinary negligence. For losses caused by ordinary negligence, we are liable only for breach of essential contractual obligations (i.e. obligations whose fulfilment is essential to the proper performance of the contract and on which you may reasonably rely). In such cases our liability is limited in amount to the loss that was reasonably foreseeable at the time the contract was entered into. In other words: for ordinary negligence we are liable only to the extent reasonably to be expected.

13.3 No further liability. We do not accept any further liability. In particular, we are not liable for ordinary negligence in respect of non-essential collateral obligations or for losses that have not occurred to the goods themselves, such as lost profits, indirect or consequential losses, loss of data, or losses due to combination with other hardware for which you are responsible. This limitation of liability applies equally to our officers, employees and agents.

13.4 Data backup. Please note that you are responsible for regularly backing up the content stored on your NODI Flip. We are liable for data loss arising from a technical defect only to the extent that this would also apply for ordinary negligence (see above) — i.e. for the loss that would not have been avoided even with proper data backup.

(Nothing in this clause affects your statutory rights as a consumer or any rights under the Consumer Protection Act 1987.)

14. Child safety and product use

14.1 Minimum age for orders. Our offer is aimed at adults (in particular parents). Purchases in the NODI shop are only possible for persons aged 18 and over. By placing an order, you confirm that you are an adult. We do not enter into contracts with minors. If an order is nevertheless inadvertently placed by a minor, we may require proof of age or withdraw from the contract.

14.2 Use by children aged 5 and over. The NODI Flip is designed as an entertainment, communication and learning device for children, but should be purchased and set up by adults. Please observe the age and usage recommendations in the product description and instructions for use. Younger children in particular should only use the device under supervision, and care should be taken to set an appropriate volume to avoid hearing damage. The NODI Flip is not a toy within the meaning of the Toys (Safety) Regulations 2011, but an electronic product for children; please use it responsibly. Removable parts (e.g. sleeves/covers) may contain small parts that could be a choking hazard — keep them away from children under 3.

14.3 Parental responsibility. As a parent or guardian, it is your responsibility to set the device up appropriately for your child (e.g. by activating volume limits, choosing content) and to monitor your child's use. NODI accepts no liability for use of the product outside its intended use (e.g. unauthorised disassembly by children, improper power supply etc.). Information on safe use can be found in the enclosed instructions. Talk to your children about handling technical devices with care.

15. Environmental and disposal information (WEEE, batteries, packaging)

The NODI Flip is an electronic device powered by a battery. Certain UK environmental requirements therefore apply to disposal and recycling, and we set them out here. This information also serves to fulfil our obligations under the Waste Electrical and Electronic Equipment Regulations 2013 ("WEEE Regulations"), the Waste Batteries and Accumulators Regulations 2009, and the Producer Responsibility Obligations (Packaging Waste) Regulations.

15.1 Electrical equipment take-back (WEEE). Electrical and electronic equipment must not be disposed of with household waste. You can recognise such devices by the crossed-out wheelie bin symbol, which is also affixed to the NODI Flip. At the end of the NODI Flip's life, you are required to take the device to an official collection point for waste electrical equipment. Disposal is free of charge for you — either at local authority household waste recycling centres or via us. We are happy to accept your old NODI Flip back free of charge so that we can have it properly recycled. Contact our support team and we will provide you with a returns label. (We are registered as a producer with the relevant UK environmental regulator and finance recycling through an approved Producer Compliance Scheme.)

15.2 Battery disposal. A lithium-ion battery is built into the NODI Flip; accessories may also contain batteries. Batteries do not belong in household waste. You are required to dispose of used batteries at suitable collection points (e.g. local collection points or in retail). Disposal is free of charge for you. You can also send used batteries to us with sufficient postage — we will then send them for recycling. The symbols on batteries have the following meaning: crossed-out wheelie bin = not for household waste; Pb = contains lead, Cd = contains cadmium, Hg = contains mercury (heavy metals). Please observe these environmental notes.

15.3 Packaging. NODI's product packaging is covered by an approved UK packaging compliance scheme. You can dispose of the packaging via the usual recycling collection (kerbside recycling, paper recycling etc.). We are therefore meeting our obligations to participate in a take-back scheme. All you need to do is sort the packaging into the correct recycling stream. Thank you for contributing to material recovery through proper disposal!

16. Data protection

We take the protection of your personal data seriously. We process personal data collected as part of the Pre-Order (e.g. name, address, payment data) only in accordance with applicable data protection laws (the UK GDPR and the Data Protection Act 2018). The purpose and scope of processing are determined by the fulfilment of your order and our contractual obligations (e.g. passing your address to the delivery service provider).

A detailed explanation of how we handle your data can be found in our Privacy Policy (available on our website). It also explains your rights with regard to your data (access, rectification, erasure, etc.). By placing the order, you confirm that you have read our Privacy Policy.

As we are a controller established outside the United Kingdom, we have appointed Prighter as our UK GDPR Article 27 representative. Their contact details will be set out in our Privacy Policy. You may contact them in any matter relating to the processing of your personal data.

17. Final provisions

17.1 Governing law. These Terms and any contract between us are governed by the laws of England and Wales. If you are a consumer with your habitual residence in another country, the mandatory consumer protection provisions of your country of residence remain applicable, irrespective of this choice of law, where they are more favourable for you.

17.2 Jurisdiction. We of course hope that any disagreement can be resolved amicably. In the unlikely event of court proceedings, claims arising in connection with these Terms or any contract between you and us may be brought before the courts of your place of residence within the United Kingdom or before the competent courts in England. Mandatory rules on jurisdiction are not affected.

17.3 Alternative dispute resolution. We are not obliged or willing to participate in dispute resolution proceedings before a consumer arbitration body. Of course, you can contact us directly if you have any problems and we will find a customer-friendly solution.

17.4 Changes to the Terms. These Terms apply in the version current at the time of your order. Any changes or updates to our Terms will only apply to future orders — no unilateral change is made for ongoing Pre-Orders. If we update the Terms (e.g. due to a change in the law or expansion of our offering), we will publish the new version on our website. For your existing Pre-Order, however, the previous version remains decisive, unless the change is mandatory by law.

17.5 Severability. If individual provisions of these Terms are or become invalid or unenforceable, this does not affect the validity of the remaining provisions. The relevant statutory provisions apply in place of the invalid provision. The same applies to any gaps in the provisions.

17.6 No waiver by failure to act. If we do not assert rights under these Terms in individual cases, or assert them late, this does not constitute a waiver of those rights. Even if, for example, we are initially lenient in the event of a breach of contract, we can still enforce our rights at a later date.

17.7 Form requirements. Changes or additions relevant to the contract must be made in writing (email is generally sufficient). However, this does not apply to declarations subject to a specific form requirement, such as the cancellation declaration — for these, sending in text form (e.g. email) in good time is sufficient, see the cancellation information.

19. NODI Lifetime Guarantee — written terms (durable medium version)

Guarantor: NoDi GmbH, Rudi-Dutschke-Straße 23, c/o Betahaus, 10969 Berlin, Germany, email: help@nodi.kids.

Scope. This voluntary manufacturer's guarantee ("NODI Lifetime Guarantee") applies to the NODI Flip and original accessories supplied with it, purchased through NoDi GmbH's Pre-Order with delivery to the United Kingdom. The person entitled to the guarantee is exclusively the first buyer (name on invoice/delivery note). The guarantee is not transferable to third parties. On resale or free transfer of the product to another person, the guarantee expires. (In short: it applies only to you as our first customer.)

Guarantee period ("lifetime"). We guarantee the services described for the entire ownership period of the first buyer. "Lifetime" therefore refers to the product-related useful life in your ownership. This guarantee ends as soon as you no longer own the device. However, we provide at least 2 years of guarantee from the date of purchase in any case, even if you own the device for a shorter time — as a lower limit on "lifetime". (For example: if you give the NODI Flip to someone else after 2 years, the guarantee ends on transfer — but if you unexpectedly receive it back after, say, 8 years, you, as the original buyer, have guarantee claims at least within the 2-year period.) After 2 years from the date of purchase, we reserve the right to limit the guarantee performance, provided that the device is then still in use by the first buyer.

Guarantee scope. If a defect occurs in the NODI Flip during the guarantee period that is due to material or manufacturing defects, we will provide the guarantee. Specifically, we promise, at our choice, to either repair the device free of charge or replace it with an equivalent device. We make the decision based on what is economically and technically more sensible — taking your interests into account (e.g. data preservation). A replacement device will have at least the same functionality and capacity as your original device. Costs incurred under the guarantee (spare parts, labour, shipping) are of course borne by us. If neither repair nor replacement is possible (e.g. because the device is irretrievably defective overall and no replacement is available), we will instead offer you a refund of the time-adjusted value. Within the 2-year period at least, the time-adjusted value corresponds to the full purchase price. Thereafter, an appropriate depreciation may be taken into account.

Guarantee exclusions. This guarantee only applies where the NODI Flip has been used as intended. The following are not covered in particular:

  • Accidental damage and improper handling: e.g. drop or impact damage, water damage, damage from external influences or overload.
  • Wear: e.g. scratches on the housing, normal wear of the battery (decreasing capacity over the years) or other wear that is usual in use.
  • Intervention and modifications: damage caused by opening the device, repair attempts or changes by you or unofficial third parties (e.g. soldering on the circuit board, installation of unintended components, use of unapproved software/firmware).
  • External influences: damage caused by fire, liquids, force majeure or other circumstances beyond our control.
  • Accessories and consumables: separately supplied accessories such as cables, cases etc. may be subject to their own guarantee (where we provide one). Consumables such as stickers or packaging material are excluded.

(In short: typical cases of misuse or normal wear are not covered by the guarantee.)

Claim under the guarantee. In the event of damage, contact our customer service (contact details above). Describe the problem as precisely as possible. We will give you instructions for troubleshooting and check whether a guarantee case may exist. Where appropriate, we will ask you to send us the device for inspection. You will receive a pre-prepared returns label so that the shipment is free of charge for you. Please send the complete product (incl. important accessories) well packaged to the address we specify and enclose a copy of your proof of purchase. After receipt, our technicians will examine the defect.

If a guarantee-eligible fault is present: we repair or replace your device and send it back to you as soon as possible. The return is also free of charge. We will inform you by email of the action taken (repair or replacement).

If no guarantee case applies: if it turns out that the defect is not covered by the guarantee (see exclusions) — for example because no fault was found or there is fault on your part — we will contact you. After consultation, we will then either send your original device back to you (without repair) or submit an offer for a chargeable repair (you decide). Even where no guarantee applies, the inspection itself does not cost you anything; we would only charge for a repair you have asked us to carry out.

Geographic scope. This guarantee applies to devices purchased in the United Kingdom. If you have moved within the EU/EEA, we will endeavour to make the service available there too, possibly in cooperation with partners. Communication is via our UK/German support. Outside the EU/EEA, restrictions may apply, please ask in individual cases.

Guarantee and statutory rights. Your statutory rights are not replaced or restricted by this guarantee. You can continue to rely on your statutory rights at any time. The guarantee is a voluntary additional service. You do not have to use it but may do so — particularly after the first 6 months it gives you continued protection. If a problem occurs that falls under both statutory rights and the guarantee (e.g. a fault in the first year), you can decide which route to take. In each case you have at least the rights from one of the two routes.

Durable medium. You will receive these guarantee terms again in writing on delivery of your NODI Flip (by email as a PDF or printed in the package), so that you have a permanent record.
